Maintenance of Statutory Books

All Singapore-registered companies are obligated by the Companies Act to maintain and accurately update the following statutory registers:

  • Register of Members (Shareholders)

  • Register of Directors’ Interests in Shares and Debentures

Annual Compliance

Singapore-registered companies are legally required to conduct an annual general meeting (AGM) and file an Annual Return with the Registrar of Companies within specified timelines. Our services in this regard include:

  • Drafting board meeting minutes for formal approval of statutory accounts prior to presentation at the AGM.

  • Preparing and issuing notices (including short notice consents where applicable) for the AGM.

  • Providing attendance lists and proxy forms as required.

  • Documenting the proceedings of the AGM through comprehensive minutes.

  • Assisting clients in timely submission of the Annual Return to the Registrar following the AGM.

Ongoing Maintenance and Compliance

We provide ongoing support to ensure continuous compliance with the Companies Act and the company’s constitution, encompassing:

  • Documentation of the first board meeting to address pre-incorporation matters.

  • Assistance in opening new bank accounts.

  • Appointment of a company secretary and auditor (where necessary).
