Incorporation of a Singapore Company

In Singapore, company name is in English language. For private limited company, its name should be ended with PTE. LTD.

The issued and paid-up capital for a Singapore company can be as low as $1 in any currency. After the incorporation, share capital may be increased by the amount of allotment monies paid to the company’s bank account.

At least one shareholder is needed for a Singapore limited company. There is no local requirement for shareholders. All shareholders may be foreigners. Shareholder can be individual or corporate body. Individual shareholder can act as director.

The Singapore Companies Act requires that there must be at least one local director who is a Singapore Citizen or Singapore Permanent Resident or a EP holder who has obtained approval from MOM. All additional directors can be foreigners. A director need not have to hold shares in the Company. If the foreign directors wish to work in Singapore, they must acquire an employment pass to be issued by MOM. All directors must be individuals. Corporate body cannot act as director.

Singapore Company may be set up in one day, after the name is approved and incorporation documents are signed. The name application process takes about 3-14 days subject to approval of ACRA.

After incorporation, an email notification from ACRA confirming incorporation is as good as a certificate of incorporation for local use. For use in other countries, a Certificate of Incorporation may be purchased at a fee of S$50 from ACRA.

We will prepare for a newly incorporated company, order Common Seal, Constitution of the company, share certificates and a set of Register and Minute Book to record the company’s corporate information and minutes / resolutions passed by directors and shareholders.

At the end of first year and every subsequent years, we will remind the newly incorporated company to prepare financial statements (and XBRL where applicable), auditor report (where applicable) for Annual General Meeting purposes and filing of annual return with ACRA.
